| Before co-founding K-L, Mr. Kincaid was a former principal of Haddington
Ventures, LLC (“HV”), an energy-oriented private equity fund located in
Houston, Texas, from October 1998 through September 2003. Mr. Kincaid was one
of four original principals responsible for a combined total of seven equity
investments from its initial fund (formed in October 1998) and its second fund
(formed in August 2000) totalling approximately $130 million. |

| Prior to joining HV in 1998, Mr. Kincaid served for five years as Treasurer of
TPC Corporation, a publicly-traded company engaged in natural gas marketing,
gathering, processing and storage which was sold to PacifiCorp in April 1997
for an enterprise value in excess of $450 million. While at TPC, he was
responsible for all aspects of debt capital raising, treasury management,
investor relations and, for a time, corporate development and acquisitions.
Prior to joining TPC in 1992, Mr. Kincaid held investment banking and mezzanine
fund management positions for six years in Houston, Texas with First City
Capital Markets and EnCap Investments, Inc. He received a Bachelor of Science
degree in Computer Science from Baylor University in 1983 and a Masters in
Business Administration degree from Tulane University in 1985. |
