| K-L Energy Partners, LLC ("K-L") was created to invest private equity capital
in targeted sectors of the energy industry. The fund will focus its
investments in the midstream and downstream sectors of the energy industry,
which generally encompasses all aspects of the purchase, delivery and sale of
crude oil, natural gas, natural gas liquids and other derivative products as
between the point of production and the point of consumption or end-use. |

K-L will concentrate its investment efforts in two main areas: |

Mid-to later-stage growth capital for, or acquisition of, companies which
provide products or services to the midstream or downstream energy sector, or
certain niche power sectors, such as generation, transmission or distribution,
or
-
The acquisition or recapitalization of asset-oriented companies in these
sectors which are either (a) platforms for larger, more strategic growth
initiatives, (b) candidates to benefit from new strategic commercial focus,
and/or (c) experiencing operating or financial distress.

In identifying situations to invest in within these areas, the fund will focus
on products, services or technologies that address current industry issues, and
on those assets which can be improved through the introduction of other
strategic market thrusts, the combination with other strategic assets to
achieve economies of scale, or the restructuring of commercial contracts,
operating expenses, or capital structure. K-L will primarily seek control
investments but will consider influential minority investments provided
sufficient negative control and corporate governance provisions can be
negotiated.

| The Principals |
|
|
The Principals of K-L are Robert D. Kincaid and
Gary W. Luce (the “Principals”). The Principals each have over 20 years of
business experience, the bulk of which is in the energy industry sector in
private equity and mezzanine fund management, senior corporate officer
positions with public companies, and management consulting. The Principals have
had fund investing or public-company senior management experience in the areas
of (a) natural gas storage, gathering, marketing and processing, (b) crude oil
and liquids gathering, transportation and marketing, (c) bulk power storage,
(d) large-scale central plant power generation (e) energy enterprise-management
software, (f) fuel cells and (g) co-generation (combined heat and power).
